To use our Platform, you must have the legal capacity to enter into a legally binding agreement. By accessing or using our Platform, you represent and warrant that you meet these eligibility requirements and acknowledge and agree to be bound by the following Terms and Conditions (“Terms”) and our Privacy Policy. You further acknowledge and agree that you shall comply with all applicable laws, statutes, ordinances and regulations (whether or not having the force of law) regarding their use of the Platform. You recognize the global nature of the Internet and understand that the applicable laws, statutes, ordinances and/or regulations may be of a jurisdiction other than your own and agree that compliance with the same is your absolute responsibility.

Description of Platform 平台的描述

Bonfire is an online platform and mobile application that provides users with information and reviews on restaurants, cafes, and other food and beverage establishments. The Platform allows users to search for and review restaurants, and access other features related to dining (“Services”).

1. User Accounts 用戶帳戶

1.1. You must create an account on the Platform in order to access certain features and services. You are solely and entirely responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. In any event the Company shall not be liable in any way for any of your improper use, and shall not be responsible or liable for any loss or damage in relation to the unauthorized use of your account by any person.

3.1. You may not use the Platform for any illegal or unauthorized purpose, including but not limited to:

• Impersonating another person or misrepresenting your affiliation with a person or entity

3.2. You may not engage in any activity that interferes with or disrupts the Platform (or the servers and networks which are connected to the Platform).

You hereby waive all and any rights and claims for any consideration, fees, royalties, charges and/or other payments in relation to the Company’s use, disclosure, adoption and/or modification of such ideas, concepts, proposals, suggestions, comments and/or other communications and information.

5.2. The Company shall not be liable for any default of obligations or duties directly or indirectly caused by or resulted from any causes beyond the Company’s reasonable control, including but not limited to Internet failure or any system default. The Company does not guarantee uninterrupted, continuous and/or secure access to the any Services via the Platform. The Platform may be unexpectedly unavailable for whatever duration and for whatsoever reasons that may include but not limited to system malfunctions and disruptions, Internet access downtime and other technical problems beyond the Company’s control for which we cannot and shall not be held responsible.

5.8. The Company reserves the right to take any part or the whole of the Platform offline with or without notice for reasons including but not limited to system maintenance or upgrading.

5.9. The Company is not an agent of any of the merchants, advertisers or restaurants on in connection with the Platform.

6. Indemnification 賠償

6.1. You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Platform.
您同意保障及免除公司及其高管、董事、員工、代理、附屬公司、繼受人和受讓人，因使用平台或違反這些條款而產生的任何索賠、責任、損害、判決、裁決、損失、費用、支出或費用（包括合理的律師費）。

7. Modifications to Terms and Platform 條款和平台的修改

7.1. The Company may modify these Terms from time to time in its sole discretion. If we make changes to these Terms, we will provide notice of such changes by updating the date at the top of these Terms. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.

The Company reserves the right at any time to take such action as it considers appropriate, desirable or necessary including but not limited to taking legal actions against you. The Company shall have no obligation to deliver any materials posted on the Platform to you at any time, both before or after cessation of the Services or upon removal of the related material(s) from the Platform.

9. Governing Law and Dispute Resolution 法律適用和爭端解決

9.1. These Terms and any dispute arising out of or relating to these Terms or the Platform will be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”), without giving effect to any choice or conflict of law provision or rule.
這些條款和任何因這些條款或平台而引起的爭議將受到中華人民共和國香港特別行政區的法律管轄，不適用任何選擇或法律衝突規定或規則。

9.2. Any dispute arising out of or relating to these Terms or the Platform shall be submitted to the exclusive jurisdiction of the courts located in Hong Kong.
任何因這些條款或平台而引起的爭議應提交給位於香港的法院專屬管轄權。

10. Miscellaneous 其他

10.1. These Terms constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and the Company.

10.2. If any provision of these Terms is held to be invalid, void or otherwise unenforceable, such provision shall be struck and the remaining provisions shall remain enforceable to the fullest extent permitted by law.

10.4. Should there be any inconsistency between the English version and any version in other languages, the English version shall always prevail.

If there is any conflict among (i) these Terms, (ii) specific terms of use appearing on the Platform, (iii) Privacy Policy; and (iv) any other agreements entered into between the Company and you (if any), the latest shall prevail over other documents and then the following descending order of procedure shall apply:- (i) Privacy Policy; (ii) the specific terms of use appearing on the Platform; (iii) the Terms; and (iv) any other agreements entered into between the Company and you (if any), subject always to the express contrary provisions (if any) contained in the aforesaid documents.

10.6. Except as expressly set forth herein, no person other than the parties to these Terms shall have any right to enforce any term hereof.
